12. Responsible Use of Site. Please act responsibly when using this Site. You may only use this Site and its contents for lawful purposes and in accordance with applicable law and you are prohibited from storing, distributing, or transmitting any unlawful material through this Site. You may not collect or store personal information regarding other users. You recognize that storing, distributing, or transmitting unlawful material could expose you to criminal and/or civil liability. You agree that if a third-party claims that material you have contributed to the Site is unlawful, you will bear the burden of establishing that it is lawful. 13. Content Limitations. We at Guidehouse require that you do not post or otherwise publish on the Site any materials that (a) are threatening, libelous, defamatory, or obscene; (b) would constitute, or that encourage conduct that would constitute, a criminal offense, give rise to civil liability, or otherwise violate law; (c) infringe the intellectual property, privacy, or other rights of any third parties; (d) contain a computer virus or other destructive element; (e) contain advertising; (f) constitute or contain false or misleading statements; or (g) otherwise violate these Terms or applicable laws.
14. Indemnity. You agree to indemnify and hold harmless Guidehouse and its officers, directors, employees, agents, distributors, and affiliates from and against any and all claims, demands, liabilities, costs, or expenses, including reasonable attorney's fees, resulting from your breach of these Terms, including any of the foregoing provisions, representations or warranties, and/or from your placement or transmission of any content onto Guidehouse's servers, and/or from any and all use of your account.
15. Violation of Security Systems. You are prohibited from using any services or facilities provided in connection with this Site to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g., password guessing programs, cracking tools, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, Guidehouse reserves the right to release your details to system administrators at other sites to assist them in resolving security incidents.
16. Choice of Law. These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware, USA, as they are applied to agreements entered into and to be performed entirely within Delaware.
17. General. If any provision of these Terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
19. No Legal Services. Guidehouse is not a law firm and does not render legal advice on the Site or in its Services.

While many of Guidehouse’s professionals are Certified Public Accountants licensed in various states, Guidehouse is not a certified public accounting firm and neither our professionals nor Guidehouse provide attest or public accounting services.
E-mail Disclaimer
Guidehouse employs technology to automatically capture certain personal contact information contained in the signature blocks of e-mail received by Guidehouse professionals, and to store that information in Guidehouse systems.
The Guidehouse Vendor Code of Conduct (“Vendor Code”) sets forth the requirements that we expect our Vendors (which includes any entity or individual contracted to provide services to or to act on behalf of Guidehouse) to comply with in order to operate lawfully, ethically and with integrity in every jurisdiction where they conduct business. This Vendor Code applies to all Vendors on a global basis regardless of location of services.
1. Acceptance of These Career Submission Terms. Your submission of personal and/or employment information on this portion of the Guidehouse online service, including through our websites, Guidehouse.com, our other related mobile websites, mobile Guidehouse applications (“mobile apps”), services, tools, and other applications (collectively, the “Site”) is subject to the following career submission terms and conditions (“Career Submission Terms”), as may be modified from time to time. These Career Submission Terms set forth below supplement the Privacy Policy governing your use of Guidehouse’s Site. If you do not agree to these Career Submission Terms or are dissatisfied with any portion of the Site, do not use the Site and do not submit or post any career information.
2. We Collect the Career Information You Give Us. As set forth in the Privacy Policy the Guidehouse Careers section of the Site gives you the opportunity to register and create a profile to apply for jobs. In order to do so, you will provide us with your email, username and password that will allow you to access your account later. By clicking the "Submit" button on any of the job application pages and submitting your information, you agree that we may use your information and collect additional personal and non-personal information (e.g., address, telephone number, resume, employment history, reference information, education, and so on) for the purpose of job opportunities. Create a safe resume and remove all sensitive information such as social security numbers, identification numbers (e.g., driver’s license), financial information and dates of birth before uploading your resume. We don’t need or want that information in your resume.
We do not require sensitive information (e.g. data relating to gender, race or ethnic origin, political opinions, religious beliefs, trade union or works council membership, criminal record, physical or mental health, or sexual orientation) from initial candidates. But to the extent you supply any information of a sensitive nature with your application on a voluntary basis, you agree that we may use such information in accordance with applicable law, including for statistical and reporting purposes.
3. How We Use and Retain Your Career Information.
(a) We Use the Information to Process Your Requests. We use your information to provide job alerts or other information you may request. We also use your application profile information to process your employment applications and to communicate with you regarding your application. We also use your information for general statistical analysis and reporting purposes. We may also use your information, in our sole discretion, to let you know about other job opportunities that might be a good fit for you.
(b) Retention of Your Information. If you are successful and offered employment or a placement with Guidehouse, this information will be retained and transferred to your personnel file and used to manage any employment or other relationship with Guidehouse (e.g., to administer benefits, performance reviews, training, regulatory compliance or disciplinary actions). If you are not successful, then we will only retain your information to the extent permitted by law, including retaining a record of your application and, unless you tell us that you do not wish us to do so pursuant to Section 9 below, we may retain a copy of your resume for up to 5 years for potential future opportunities.
4. We Share Your Information with Third-Parties With Your Permission. We share your information with third-parties (e.g. recruiters, persons you have provided as references or other service providers) that you permit us to share with, in order to assist us in processing your career requests and applications for employment and other employment related tasks (e.g., providing internal statistical analysis and reporting, such as candidate activity and demographic reports).
5. No Offer of Employment. 6. Your Information Must be Accurate- You Can Change Your Information. You expressly agree and acknowledge that all of the personal information and employment information submitted by you to the Guidehouse Site is truthful and does not contain any misleading or false statements. Your application/profile information is maintained on this Site. In accordance with applicable law, you may review or update your personal applicant/profile information at any time using the Site website by clicking on “my profile” and amending details.
7. You Certify That You Have Authorization to Submit Information From Others. Where you supply personal information of another person, you confirm that you have made that person aware that we are collecting and may use and disclose this information, the reasons why you have provided it to us, how he or she can contact us and, generally, the terms of the Guidehouse Privacy Policy. Further, you confirm that the other person has consented in writing to such collection, use and disclosure.
8. Personal Information is Subject to Our Privacy Policy. All personal information provided by, or collected from, you or, in the event that your application progresses with us, from third-party sources such as references or health professionals, as part of the recruitment process is handled in accordance Guidehouse Privacy Policy.
9. Deactivation or Deletion of Your Account. Candidates (who are not employed by us) may request that we deactivate or delete their account by emailing us at privacy@guidehouse.com. When you request that your account be cancelled or deleted, your information, including your resume and profiles will no longer be available to you and will be deleted by us from electronic or digital records from the Career applicant tracking system, except as to historical reports which may be retained for up to two years. When you ask that we delete your account we will do so without undue delay. Even though your account will be deleted, we may retain digital logs and non-personally identifiable information or non-personal data about your account, which is not accessible by you or third-parties on Guidehouse Site but which might be used by us for recordkeeping and internal purposes, including enforcing the Privacy Policy and demographic reporting and research purposes.

1. COOKIES & OTHER TRACKING TECHNOLOGIES
Cookies: are text files containing small amounts of information which are downloaded to your computer or mobile device that allow a site to recognize your device when you visit the site. Cookies can be created through a variety of web-related protocols and technologies, such as HTTP (sometimes referred to as “browser cookies”), and HTML5.
Embedded Script: An embedded script is programming code that is designed to collect information about your interactions with the Site, such as the links you click on. ETag, or entity tag: A feature of the cache in browsers, an ETag is an opaque identifier assigned by a web server to a specific version of a resource found at a URL. We also use other tracking technologies on our sites such as social plugins. The social plugins used on the Site are hosted by a social media network such as Facebook or Google+ and your browser therefore sends this cookie data to that social media network when loading the social plugin inside your browser. Tax planning and tax risk
In structuring our commercial activities, we will consider - among other factors – the tax laws of the countries in which we operate, with a view to maximizing value on a sustainable basis for our stakeholders. Any structuring which is undertaken will have commercial and economic substance and will have full regard to the potential impact on our reputation and that of our shareholders.
